Lime Liquor Terms & Conditions                 Welcome to LimeLiquor.ca website (the “Website). The terms “we”, “us”, and “our” refer to Lime Liquor Wine & Spirits LTD. Please read these Terms and Conditions carefully as it governs your use of our website. By using this Website, you agree to comply with all of the terms and conditions set out below (the “Terms”), Privacy Policy, Purchase Terms and Conditions, Shipping Policy, and Refund Policy. These Terms apply to all users of our Website, including but not limited to, users who are browsers, merchants, customers, vendors and/or contributors of content and are to be read together with any and all terms, conditions or disclaimers provided in the pages of our Website. If you do not agree to all of these terms, do not access the Website. If you do access and use our website, then you accept and agree to be bound by and comply with the Terms and all our policies. Please note that the Terms & Conditions are subject to change by us in our sole discretion at any time. 

  1. Use of the Website 
    Each time you visit and/or use our Website you accept and agree, accept and agree on behalf of any person you may represent, to be bound by these Terms. You also represent and warrant that you have the legal authority to enter into a binding contract and to agree to and accept these Terms on behalf of yourself or any person you purport to represent. If you do not agree with each provision of our Terms, and/or are not authorized to agree to and accept these Terms on behalf of the person you purport to represent, you may not access our website or use it. 
  2. Age 
    You must be of legal age in your state, or province of residence to purchase products from our Website. By ordering through our Website, you represent that you are of legal drinking age or older and that you are not purchasing products for anyone who is younger than the minimum legal drinking age in your state or province of residence. We reserve the right to request proof of identification and age. Minors are strictly prohibited from using our Website. During delivery, to ensure a personal hand-off of the product occurs, you or your designated person will be required to present proof (accepted proof includes a valid driver’s license or passport) that you are of legal drinking age or older before signing off for the products. Note that the signatory has to be a sober adult that is a person of legal age who is not intoxicated.
  3. Conditions and Restrictions on Use
    You agree to use our Website for legitimate purposes only and not for any illegal or unauthorized purposes. This may include (and is not limited to) violating any intellectual property or privacy laws. Furthermore, you agree not to use our Website to conduct any activities that may constitute civil or criminal offense or a violation of any law. You also agree not to interfere or attempt to interfere with our Website’s network or security features or to gain any unauthorized access to our systems. Any derivative use of our Website or its contents, any downloading or copying of customer or account information, or any use of data mining, robots, AI, or similar data-gathering and extraction tools is strictly prohibited. You agree to provide us with accurate personal information, such as your email address, mailing address, and other contact details in order for us to complete your order. You also authorize us to collect and use this information to contact you in accordance with our Privacy Policy.
  4. Ownership Title and Legal Rights Representation
    Alcoholic beverages purchased from us are sold in Alberta and, as per the law in Alberta, the title passes to you as the buyer. We make no representation to the legal rights of anyone to import beverages into any province outside of Alberta. For shipment and importation of alcoholic beverages it is solely your responsibility. By placing an order with us, you as the buyer authorize us to deliver the parcel to you or the person you designate using a common carrier such as Canada Post. It is solely your responsibility to be aware of the liquor laws in the province you reside in or are having liquor being delivered to. 
  5. Third Party Content and Content Linked to our Website
    Any links such as hyperlinks and buttons among others used on Lime Liquor website are for convenience only. We do not endorse, approve, review or control, and are not responsible for any sites linked to or from our website, content of those websites,the third parties named therein, or their products and services. You click any of the links at your own risk and you acknowledge that we will not be held responsible or liable for any damages that may result from the linking. Furthermore, links to downloadable software sites are for convenience only and as a result, you acknowledge that we are not responsible or liable for any damages, consequences, or difficulties associated with downloading the software. The use of any such downloaded software is governed by the terms of the license agreement, if any, which accompanies or is provided with the software. 
  6. Errors, Inaccuracies, and Omissions
    There can be instances when information on our Website contains typographical errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, offer, and product availability. In particular, we cannot guarantee availability of any product through our Website or in Store. We reserve the right to correct any errors, inaccuracies, or omissions at any time without prior notice (including and not limited to after an order has been submitted). We further reserve the right to cancel or refuse any orders placed based on incorrect availability information, description information or pricing at any time without prior notice to you.
  7. Login Names and Passwords
    Certain features and areas of the Website are only accessible to registered users. It is your responsibility to maintain the confidentiality of your account and in ensuring restricted access to your user account. If there is any known or suspected unauthorized use of your account or if you are aware of any known or suspected breach of security such as loss, theft or disclosure of your password you must inform us immediately. You are solely responsible for any and all activities, including without limitation all purchases, which are made under your user account. It is in our full discretion to request proof of identity of any person seeking to access and use our Website and to refuse to accept an order or to act upon any communication if we are not satisfied with the proof. Furthermore, at our discretion we may suspect or cancel your user account and password without any notice or liability to you or any other person as the user account and password remain our property.
  8. Products or Services
    All purchases made through our website are subject to product availability. While every effort is made to ensure adequate quantities of products are stocked there may be instances when products become unavailable without notice. We reserve the right to limit or cancel the quantities of products offered on our website or limit the sale of products or services to any person, orders we believe are placed by distributors or resellers, household, jurisdiction or geographic region. If we are unable to fulfill full or part of an order, we will notify you by email and communicate next steps. For unfulfilled orders we will refund money back on your credit card. If we believe that a false or fraudulent order has been placed, we will, at our full discretion, be entitled to cancel the order and inform the relevant authorities. Note that prices for our products are subject to change without notice and our sale prices cannot be added retroactively to orders that have already been placed and/or completed when the sale pricing is made live on our Website. Unless otherwise indicated, prices displayed on our Website are quoted in Canadian dollars. We have made every effort in ensuring accuracy. However, note that photos displayed on our Website are for display purposes only and may have an out of date vintage, bottle shape or different label shown. Discount codes do not apply to orders already received or shipped prior to the offer being live. Any discount codes offered on our Website are for “Online Only” and such codes will not apply to any in-store purchases. For any products on Sale, we reserve the exclusive right to limit quantities of such products. Similar to discount codes, any online sales do not apply to in-store purchases. Also, note that our products (particularly ones considered limited editions) are on a first-come, first-served basis. For items marked as Limit of 1 per household/person, we reserve the right of canceling any orders we deem duplicate including any previous orders. 
  9. Bottle/Can Deposit
    Lime Liquor must charge a bottle recycling fee of all recyclable bottles and cans as required under the Beverage Container Recycling Program implemented in Alberta on December 1, 1997. The bottle/can/Pouches/Bag in a Box deposit fees are charged on a per item basis and are as follows:
    • Up to 1 litre: 10 ¢
    • Over 1 litre: 25 ¢

    We have done our best to accurately display the bottle/can deposit fees for each item on our Website. If you notice a discrepancy, please proceed with your order and contact us at info@limeliquor.ca.

  10. Payment by Credit Card
    Payments for your order can be made by VISA, MasterCard or American Express on our Website. Please complete the credit card section located on the checkout page. We do not store any credit card information. By placing and submitting an order, you acknowledge that you are authorized to use the designated credit card and that you authorize Lime Liquor to charge your order to that credit card. Note that when checking out, the billing information corresponds to the billing address associated with the credit card being used for purchasing your order. We reserve the right to obtain authorization from the issuer of that credit card for any reason and reserve the right to decline to accept any credit card transaction for any reason. 
  11. Submissions (Comments, Feedback and all other Submissions)
    Any profiles, messages, comments, feedback and any other content (collectively, the “Submissions”) that you post, share or distribute on or through our Website or services available in connection with our website will be subject to these Terms. Under no circumstances will any Submissions provided by you to us be subject to any obligation of confidentiality or expectation of compensation. By submitting Submissions to us,you are waiving any and all rights that you may have in the submissions and payment therefor and are representing and warranting to us that the submissions are your original work or idea, that bo one else has any rights in the submissions and that we are free to implement the submissions if we so desire, as provide or as modified by us, without obtaining permission or license from any third party. With regard to the Submissions you take full responsibility of its legality, its trademark, copyright and any other intellectual property ownership. You further agree not to post, distribute or share any Submissions on our Website that are protected by trademarks, patents, copyrights or any other proprietary right without the consent of the owner of such proprietary rights. You also agree that the Submissions will not be abusive, unlawful or obscene nor will it contain any viruses or malwares that could affect the operations of our Website. You will be solely liable for any Submissions that you make and their accuracy and we will have no responsibility and assume no liability for any Submissions posted by you or any third party. At our full discretion, we may remove and/or delete any Submissions that we deem objectionable and you consent to such removal and/or deletion and waive any claim against us for the removal and/or deletion of your Submissions. 
  12. Disclaimer and Limitation of Liability
    You assume all responsibility and risk with respect to your use of our Website, which we provide “as is” without warranties, representations or conditions of any kind, either express or implied, with regard to information accessed from or via our Website, including without limitation, all content and materials, and functions and services provided on our Website, all of which are provided without warranty of any kind, including but not limited to warranties concerning the availability, accuracy, completeness or usefulness of content or information, uninterrupted access, and any warranties of title, non-infringement, merchantability or fitness for a particular purpose. We do not warrant that our Website or its functioning or the content and material of the services made available thereby will be timely, secure, uninterrupted or error-free, that defects will be corrected, or that our websites or the servers that make our website available are free of viruses, malware, or other harmful components. The use of our website is at your sole risk and you assume full responsibility for any costs associated with your use of our Website. We will not be liable for any damages of any kind related to the use of our Website. In no event will we, or our affiliates, our or their respective content or service providers, or any of our or their respective directors, officers, agents, contractors, suppliers or employees be liable to you for any direct, indirect, special, incidental, consequential, exemplary or punitive damages, losses or causes of action, or lost revenue, lost profits, lost business or sales, or any other type of damage, whether based in contract or tort (including negligence), strict liability or otherwise, arising from your use of, or the inability to use, or the performance of, our Website or the content or material or functionality through our website, even if we are advised of the possibility of such damages.     You agree to defend and indemnify us, and hold us and our affiliates harmless, and our and their respective directors, officers, agents, contractors, and employees against any losses, liabilities, claims, expenses (including legal fees) in any way arising from, related to or in connection with your use of our Website, your violation of the Terms, or the posting or transmission of any materials/Submissions on or through the website by you, including but not limited to, any third party claim that any information or materials provided by you infringe upon any third party proprietary rights.
  14. Entire Agreement
    The Terms and any documents expressly referred to in them represent the entire agreement between you and us in relation to the subject matter of the Terms and supersede any prior agreement, understanding or arrangement between you and us, whether oral or in writing. Both you and we acknowledge that, in entering into these Terms, neither you nor we have relied on any representation, undertaking or promise given by the other or implied from anything said or written between you and us prior to such Terms, except as expressly stated in the Terms.
  15. Waiver
    Our failure to exercise or enforce any right or provision of the Terms will not constitute a waiver of such right or provision. A waiver by us of any default will not constitute a waiver of any subsequent default. No waiver by us is effective unless it is communicated to you in writing. If an arbitrator or court of competent jurisdiction holds any provision of these Terms to be invalid, then the provision will be deemed to be severed from these Terms and the remaining provisions will continue in full force and effect and the parties nevertheless agree that the arbitrator or court should endeavor to give effect to the parties’ intentions as reflected in the provision.
  16. Successors and Assigns
    You agree that we may assign all or part of these Terms without such assignment being considered a change to these Terms and without providing notice to you. You agree that we will be released from all liability upon assignment and thereafter the assignee will have the same rights and obligations as we previously had.
  17. Headings
    Any headings and titles herein are for convenience only.
  18. Severability
    If any of the provisions of the Terms are determined by any competent authority to be invalid, unlawful or unenforceable, such provision will to that extent be severed from the remaining Terms, which will continue to be valid and enforceable to the fullest extent permitted by law.
  19. Governing Law
    Any disputes arising out of or relating to the Terms, the Privacy Policy, use of our website, or our products or services offered on our website will be resolved in accordance with the laws of the Province of Alberta without regard to its conflict of law rules. Any disputes, actions or proceedings relating to the Terms or your access to or use of our website must be brought before the courts of the Province of Alberta in the City of Calgary, Alberta and you irrevocably consent to the exclusive jurisdiction and venue of such courts.
